Acceptance & Scope of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you ("User", "you", or "your") and Ownly Technologies Inc. ("Ownly", "we", "us", or "our"), governing your download, access, and use of the Ownly mobile application, cloud services, vault infrastructure, and related websites (collectively, the "Service").

By tapping "Create Account", "Sign In", downloading the application, or otherwise using the Service, you represent that you are at least 18 years of age (or the legal age of majority in your jurisdiction), have read and understood these Terms, and agree to be bound by them. If you do not agree to these Terms, you must not access or use Ownly.

Vault Sovereignty & Zero-Knowledge Security

Ownly operates under a Zero-Knowledge Security Architecture for encrypted asset records, purchase receipts, serial numbers, and insurance policy schedules:

• Client-Side Cryptography: Sensitive fields and uploaded receipt documents are encrypted using AES-256-GCM before leaving your device, with keys derived from your master password or device Secure Enclave / Android KeyStore.
• Zero Platform Access: Ownly staff, cloud operators, and automated services cannot read your encrypted asset metadata, valuations, or private notes without your explicit decryption key.
• User Custody Obligation: Because Ownly utilizes client-side zero-knowledge proofs, if you lose your account credentials and vault recovery keys, Ownly cannot recover your encrypted data. You are solely responsible for maintaining backups of your recovery phrases and export archives.

Account Registration, Biometrics & Security

To utilize the full capabilities of Ownly, you must register an account using a valid email address and secure password.

Biometric Authentication (Face ID / Touch ID / Fingerprint): If enabled, biometric unlocking utilizes your device's native hardware API (Apple LocalAuthentication or Android BiometricPrompt). Biometric identifiers never leave your physical device and are never transmitted to or stored on Ownly servers.

You agree to immediately notify Ownly at security@ownly.app upon discovering any unauthorized access to your account or any breach of security.

Valuation Estimates & Warranty Radar Disclaimers

No Financial or Insurance Advice: While Ownly formats structured portfolio reports (e.g., Chubb or Lloyd's-compatible PDF schedules), Ownly does not guarantee that your insurer will accept these valuations without independent certified appraisals. You remain solely responsible for verifying the accuracy of your coverage limits with your insurer.

Warranty Radar: Expiration countdowns, return windows, and coverage notifications rely on user-entered purchase dates, receipt OCR extractions, and manufacturer public terms. Ownly assumes no responsibility for denied manufacturer warranty claims or late refund requests.

Subscriptions, In-App Purchases & Billing

Ownly offers a free tier as well as an "Ownly Pro Vault" subscription with advanced capabilities (unlimited items, AI receipt scanning, multi-vault organization, high-res policy exports).

• Billing Mechanics: All subscription payments are processed securely through the Apple App Store (In-App Purchase) or Google Play Billing. We do not store or process your credit card numbers on Ownly servers.
• Automatic Renewal: Subscriptions renew automatically unless canceled at least 24 hours prior to the conclusion of the active billing cycle.
• Managing Subscriptions: You may modify or terminate your subscription at any time within your device's operating system settings (iOS Settings > Apple ID > Subscriptions, or Google Play > Payments & Subscriptions).
• Refunds: Refund requests are governed by the policies of Apple Inc. or Google LLC respectively. Ownly cannot initiate direct refunds for store-billed charges.

Intellectual Property & Content Rights

User Content Ownership: You retain complete, unencumbered ownership of all images, receipts, serial numbers, invoice documents, and metadata you upload to Ownly ("User Content"). You grant Ownly a limited, revocable, non-exclusive license solely to host, encrypt, synchronize, and display your User Content strictly for the purpose of operating the Service for your benefit.

Ownly IP: The Ownly application, trademarks, logos, visual designs, UI components, codebase, and proprietary valuation algorithms remain the exclusive property of Ownly Technologies Inc. and its licensors.

Acceptable Use Policy

You agree that you will not:

• Reverse-engineer, decompile, or disassemble any part of the Ownly application or encryption engine;
• Use Ownly to catalogue, track, or manage illegal goods, contraband, or stolen property;
• Attempt to compromise, probe, or breach the security of Ownly infrastructure or cryptographic keys;
• Interfere with or overburden our server endpoints, networks, or cloud sync queues;
• Sell, lease, or sub-license access to your Ownly Pro subscription to unauthorized third parties.

Account Deletion & Termination (GDPR Article 17)

You may terminate this Agreement at any time by deleting your account. In strict compliance with GDPR Article 17 ("Right to Erasure") and Apple App Store Review Guidelines:

• Self-Service Account Deletion: You can initiate an irreversible purge directly within the Ownly app by navigating to Settings > Privacy & Data Security > Request Account Deletion.
• Online Deletion Request: If you no longer have access to your device, you may submit an erasure request through our web portal or via email to privacy@ownly.app.
• Irreversible Purge: Upon confirmation, your account identity, authentication tokens, synced database records, and encrypted receipt buckets are permanently purged within thirty (30) days from our active databases and backup logs.

Disclaimers of Warranties & Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL OWNLY, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF VALUATION DATA, LOSS OF PROFITS, HARDWARE MALFUNCTION, OR INABILITY TO COLLECT INSURANCE CLAIMS), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO OWNLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY UNITED STATES DOLLARS ($50.00), WHICHEVER IS GREATER.

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Informal Resolution First: Prior to filing a formal dispute, both parties agree to attempt informal negotiations for thirty (30) days by contacting legal@ownly.app. If unresolved, disputes shall be settled through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules.

Class Action Waiver: YOU AND OWNLY AGREE THAT ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
